These Terms of Service (“Terms”) govern your access to and use of services provided by TRUEWEB LLC (“we,” “us,” or “our”), a Wyoming limited-liability company with its principal place of business at 30 N Gould St, STE R, Sheridan, WY 82801, USA. By engaging our services or accessing our website at truewebllc.com (the “Site”), you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. Services
We offer digital-marketing, website development, funnel-building, and related technical services (the “Services”). A detailed description of each Service, deliverables, timelines, and fees will be set out in a separate project proposal or Statement of Work (“SOW”) that you must review and sign before work begins.
2. Formation of Contract
A binding contract is formed when:
- You accept our project proposal or SOW in writing (email suffices), and
- You pay any required deposit as specified in the proposal or SOW.
3. Fees & Payment
- Deposit: A non-refundable deposit (typically 30–50% of total fees) is due upon contract formation.
- Invoices: We will invoice you according to the schedule in the SOW (e.g. upon milestones or monthly).
- Payment Terms: Invoices are due within 15 days of receipt. Late payments incur a 1.5% monthly finance charge.
- Refunds: See our Refund Policy: refunds are only available prior to full delivery of Services. No refunds once Services are complete.
4. Your Obligations
To enable timely delivery, you agree to:
- Provide accurate information, materials, and feedback as requested.
- Grant us access to accounts, servers, and third-party services needed to perform Services.
- Review deliverables and submit approvals or change requests promptly.
Delays in your feedback or provision of assets may extend project timelines and incur additional fees.
5. Intellectual Property
- Our Work Product: Upon full payment, we grant you a non-exclusive, perpetual license to use deliverables created solely for you.
- Third-Party Materials: Any third-party tools, software, or stock assets remain subject to their own licenses. You must comply with those terms separately.
- Our Portfolio Rights: We may showcase non-confidential screenshots or descriptions of completed work in our portfolio and marketing materials.
6. Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the project (“Confidential Information”), and not to use or disclose it except as necessary to perform these Terms.
7. Warranties & Disclaimers
- Our Warranty: We warrant that Services will be performed in a professional manner consistent with industry standards.
- Disclaimer: Except as expressly provided, all Services are provided “AS IS” and we disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose.
8. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising under these Terms shall not exceed the total fees paid by you for the Services giving rise to the claim. We are not liable for any indirect, special, or consequential damages.
9. Indemnification
You agree to indemnify and hold harmless TRUEWEB LLC and its officers, directors, employees, and agents from any third-party claims arising from your use of the deliverables, your breach of these Terms, or your violation of any law.
10. Termination
- By You: You may terminate the project for convenience with 10 days’ written notice. You will owe payment for all work performed through the termination date.
- By Us: We may suspend or terminate Services if you fail to pay, breach these Terms, or otherwise impair our ability to perform. We will provide written notice and an opportunity to cure, where practicable.
Sections 4–10, and any accrued payment obligations, survive termination.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute shall be resolved in the state or federal courts located in Sheridan County, WY, and you consent to exclusive jurisdiction and venue there.
12. Changes to Terms
We may update these Terms at any time by posting a revised version at truewebllc.com/terms. The “Last Updated” date at the top reflects when changes were made. Continued use of our Services after that date constitutes acceptance of the new Terms.
